They do not govern the purchase of products or services from NxNW Technologies, and they do not replace any master services agreement, statement of work, proposal, quote, order form, reseller agreement, staffing agreement, or other separate written agreement between you and NxNW Technologies. NxNW Technologies names, logos, marks, and branding elements are the property of NxNW Technologies or its licensors. You may not use them without prior written permission.

Any third-party company names, product names, partner marks, or logos that appear on the Site belong to their respective owners. Reference to third-party offerings does not necessarily imply endorsement, sponsorship, or exclusive affiliation unless expressly stated.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FUNCTIONALITY, AND MATERIALS MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

NXNW TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, SECURITY, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR FREE OF HARMFUL CODE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NXNW TECHNOLOGIES AND ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NXNW TECHNOLOGIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless NxNW Technologies and its officers, managers, members, employees, contractors, agents, affiliates, and licensors from and against any claims, demands, actions, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

15. Suspension and Termination

NxNW Technologies may suspend, restrict, or terminate your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms, created risk for the Site or our business, or if suspension or termination is otherwise appropriate in our discretion.

Sections of these Terms that by their nature should survive termination will survive, including without limitation sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the State of Washington, without regard to its conflict of laws principles.

To the extent permitted by law, any legal action arising out of or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in Clark County, Washington, and you consent to the personal jurisdiction and venue of those courts.

17. Compliance With Local Laws

NxNW Technologies controls and operates the Site from the United States. We do not represent that the Site is appropriate or available for use in every jurisdiction. You are responsible for compliance with local laws to the extent they apply to your use of the Site.

18. Electronic Communications

By using the Site or communicating with us electronically, you consent to receive communications from us electronically, including by email, where permitted by law. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

19. Severability and Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

No waiver by NxNW Technologies of any provision or breach of these Terms will be deemed a waiver of any other provision or any later breach.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and NxNW Technologies regarding your use of the Site, unless a separate written agreement applies.
