# Five Things to Know About Vendor Management and Third-Party Risk

[Joel Robnett](https://www.nxnwtech.com/insights/author/joel-robnett) · September 27, 2026

Most organizations now depend on dozens of outside providers for software, cloud services, connectivity, support and data processing. Every one of them extends your attack surface, and many of them extend your regulatory and contractual obligations too. When a vendor has an incident, your customers rarely distinguish between their failure and yours.

Vendor management and third-party risk was the focus of the third session in our [Cyber, Vendor and AI Risk series](https://www.nxnwtech.com/cybersecurity-vendor-ai-risk-management-insights-nxnw-technologies-and-cruxial-technology-group) with Cruxial Technology Group. Whether or not you joined us, here are five things we think every IT and business leader should know.

## 1. You can't manage vendors you haven't inventoried

Start with a single list of every provider, what they do for you and, most importantly, what they touch: which data, which systems and which business processes. Shadow IT, departmental subscriptions and "free" tools belong on the list too. The inventory is unglamorous, but every other step depends on it.

## 2. Not every vendor deserves the same scrutiny

A provider that processes customer data or keeps a critical process running is not the same risk as the company that supplies your office software add-on. Tier vendors by the sensitivity of the data they handle and the impact if they fail, then scale your due diligence to match. For critical vendors, that typically means current independent assurance (such as a SOC 2 Type II report or ISO 27001 certification), a security questionnaire and a look at their incident history. For low-risk vendors, a lighter review is fine.

## 3. The contract is where the controls live

Good intentions don't survive an incident. The protections that matter need to be written down: security obligations, breach notification timelines, the right to review assessments, disclosure of subcontractors, data location, return and deletion of data at the end of the contract, service levels and insurance. If a requirement isn't in the agreement, assume you can't enforce it.

## 4. Third-party risk now includes AI risk

Vendors are adding AI features to tools you already use, sometimes switched on by default. That raises new questions: is your data used to train models, where is it processed, can you turn features off, and do those features change what the vendor can see? It also extends to fourth parties, since many vendors rely on their own AI and cloud providers to deliver those features.

## 5. Due diligence is a cycle, not a checkbox

A vendor that passed review two years ago may look very different today. Reassess critical vendors on a set schedule, request updated assurance reports, watch for material changes such as acquisitions, breaches or new subcontractors, and use renewals as a natural checkpoint. Give each vendor a named business owner who is accountable for the relationship, not just the invoice.

## Questions to ask your technology vendors

- What of our data do you store or process, where, and who at your company can access it?
- Which subcontractors or fourth parties handle our data, and how will you tell us when that changes?
- Are AI features enabled in your product, and is our data used to train models?
- How quickly will you notify us of a security incident, and what will that notice include?
- What independent assessments or certifications can you share, and how current are they?
- What happens to our data when the contract ends?

## Where to start this quarter

If this feels like a lot, start small. Build the inventory, identify your ten most critical vendors, and confirm that each has a current assurance report, a named owner and contract terms covering breach notification and data return. That alone puts you ahead of many organizations.

## Up next: AI governance

The final session in the series, **Five Things You Should Know About AI Governance**, is on October 29, 2026 at 11:30 a.m. Pacific.
